Primary Program Sponsor Agreement

1. The Primary Partner fee for each Chamber Program is $1,200. One (1) Primary Partnership per program is available annually. There is no limit on Supporter Partnerships.

2. The Primary Partner designation is valid for the 2026 calendar year. Renewal for the following year is not guaranteed, but will include a first right of refusal for the current partner.

3. Primary Partnership is contingent upon prompt payment in full at the time of invoicing. Non-payment results in forfeiture of rights and benefits.

4. Benefits include but are not limited to: exclusive “Primary Sponsor” branding in program materials, logo/display at all program events, and featured digital recognition. *Please note some programs may have additional opportunities relevant to their mission.

5. The Primary Partner agrees to provide high-resolution logo files and participate, to a reasonable extent, in program-related promotions and events.

6. The Chamber reserves the right to use the partner’s name/logo for all program promotions. Additional placement includes but is not limited to the Annual Chamber Member Directory, Annual Banquet, and any other Chamber-forward presentation and/or speaking opportunities.

7. If the business drops membership, ceases operations, relocates, or otherwise becomes ineligible during the term, the fee is non-refundable.

8. This partnership is non-transferable to another business or entity without prior written approval by the Chamber.

9. The Chamber reserves the right to terminate the partnership and all associated benefits if the Primary Partner violates Chamber policies or acts in a manner detrimental to the Chamber’s mission or reputation. In such cases, no refund will be provided.

10. Neither party shall be held responsible for events beyond their control (force majeure).

This agreement is governed by the laws of Kansas and the county of Leavenworth.

Exclusivity

Exclusivity is limited to the selected Chamber program for the duration of this agreement. The Primary Partner shall not be granted exclusivity across unrelated programs or sectors. The Chamber retains sole discretion regarding what constitutes a conflicting business interest or activity and reserves the right to terminate this agreement should a conflict of interest arise and not be remedied in a timely and satisfactory manner.
 

Conflict of Interest

The Primary Partner must promptly disclose any potential or actual conflicts of interest that may arise during the term. The Chamber reserves the right to review and, if needed, terminate the partnership if such conflicts compromise the goals or reputation of the Chamber, or are not resolved in a timely and satisfactory manner.

Decision-Making Authority

The Primary Partner acknowledges and agrees that sponsorship or partnership status alone does not grant any right or authority to make decisions on behalf of the Chamber program, its committees, or the Chamber itself. Decision-making rights are reserved exclusively for the Chamber’s governing bodies, including its Board of Directors and designated program committees. Should the Primary Partner wish to obtain decision-making privileges, they may do so only by formally joining such Board or committees through established Chamber processes. Until such time, the Primary Partner’s role is limited to supporting and promoting the program without exercising managerial or governance control.
